Terms & Conditions

Welcome to AuthorityTech, a platform operated by AuthorityTech LLC (“AuthorityTech,” “we,” “our,” or “us”).
By accessing or using authoritytech.io, app subdomains, dashboards, communication portals, or any related tools (collectively, the “Platform”), you agree to these Terms & Conditions (“Terms”).

If you do not agree, do not use the Platform.


1. Eligibility

You must:

  • Be at least 18 years old

  • Have legal capacity to enter a binding agreement

  • Provide accurate account information

Creating an account confirms your eligibility.


2. Account Registration

You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • All actions taken under your account

  • Immediately notifying us of any unauthorized activity

We may suspend or restrict access for security or compliance reasons.


3. Relationship to the Master SOW (Controlling Contract)

All AuthorityTech services—including PR programs, media placements, advisory, strategy, editing, and campaign execution—are governed by your signed Master Statement of Work (SOW).

  • The SOW supersedes these Terms in the event of conflict.

  • No paid service begins without an executed SOW.

  • By using the Platform or submitting payment, you acknowledge and accept the SOW, including all billing, deliverables, confidentiality, and service obligations.

Your SOW is the binding governing agreement for all client work.


4. Services Provided

AuthorityTech operates a managed PR, placement, and media-relations platform.
We provide access to:

  • Publisher and media-partner networks

  • Content and campaign management tools

  • Reporting dashboards

  • Ongoing PR services per your SOW

We may update, modify, or discontinue parts of the Platform at any time.


5. Client Responsibilities

You agree to:

  • Use the Platform lawfully

  • Not engage in scraping, exploiting, reverse engineering, or interference

  • Provide complete and accurate information for briefs, campaigns, and approvals

  • Communicate promptly to keep services on schedule

We may restrict access for violations of these Terms or your SOW.


6. Payments, Billing, and No-Refund Policy

All payments are processed securely through Stripe or other authorized payment partners.

By submitting payment information, you authorize AuthorityTech to charge for:

  • Campaign fees

  • PR retainers

  • SOW-defined deliverables

  • Add-ons and approved services

  • Platform or subscription fees (if applicable)

All payments are final and non-refundable, except where expressly stated in writing within your SOW.


Additional conditions:

  • Late or failed payments may pause services and deliverables

  • You remain responsible for all fees defined in your SOW

  • Chargebacks are strictly prohibited and treated as a breach of contract

  • You acknowledge that all payments made through AuthorityTech are for professional services and not for consumer goods, and therefore are not eligible for credit card ‘product not received’ or similar consumer protections.


If a chargeback is initiated, AuthorityTech reserves the right to:

  • Suspend all services

  • Pursue recovery of owed amounts

  • Provide the SOW and payment logs to the processor as evidence

  • Recover fees associated with the dispute


7. Confidentiality & Data Use

Our handling of your materials, communications, strategies, and campaign data is governed by:

  • Your signed SOW

  • Our Privacy Policy


You consent to the use of your data for:

  • Account administration

  • Campaign execution

  • Analytics

  • Fraud prevention

  • Internal service optimization


We do not sell your data.


8. Intellectual Property

AuthorityTech owns or licenses all Platform content, tools, software, text, design assets, and architecture.
You may not copy, redistribute, scrape, resell, or create derivative works without written permission.

Content created for campaigns is governed by the SOW.


9. Third-Party Links & Integrations

The Platform may integrate with vendors, publishers, media partners, or third-party tools.
AuthorityTech is not responsible for:

  • Third-party terms

  • Third-party actions

  • Content outside our control

Use those services at your discretion.


10. Disclaimers

The Platform and all services are provided “as is” and “as available.”
No warranties—express or implied—are provided, including:

  • Merchantability

  • Fitness for a particular purpose

  • Expected campaign results or outcomes


11. Limitation of Liability

To the fullest extent permitted by law, AuthorityTech, its officers, and partners are not liable for:

  • Indirect

  • Incidental

  • Special

  • Consequential

  • Punitive damages

Total liability is limited to the amount you paid in the preceding 12 months.


12. Indemnification

You agree to indemnify and hold AuthorityTech harmless from all claims, losses, damages, or fees arising from:

  • Your breach of these Terms or your SOW

  • Misuse of the Platform

  • Materials or data you submit

  • Violations of law or third-party rights


13. Termination

We may suspend or terminate Platform access or services if:

  • You violate these Terms or your SOW

  • Payments fail

  • You engage in abusive, fraudulent, or harmful behavior

Termination does not void outstanding invoices or obligations defined in the SOW.


14. Updates to the Terms

We may modify or update these Terms at any time.
Material changes will be posted with an updated “Last Updated” date.
Continued use of the Platform constitutes acceptance.


15. Governing Law & Venue

These Terms and your SOW are governed by the laws of the State of Texas.
All disputes will be resolved exclusively in:

  • State or federal courts located in Dallas County, Texas.


16. Payment Authorization & Chargeback Waiver

By submitting payment on the Platform, you authorize AuthorityTech LLC to charge the payment method provided for all fees outlined in your SOW or agreed services.


You acknowledge and agree that:

  • All payments are final and non-refundable, unless explicitly stated in your SOW.

  • Chargebacks, payment disputes, or reversals filed with a bank or card issuer are considered a breach of contract.

  • If a chargeback is initiated, AuthorityTech may immediately suspend services and pursue recovery of all owed amounts, including additional fees incurred during the dispute process.

  • You agree to resolve any billing or service concerns directly with AuthorityTech before disputing a charge with a payment provider.

  • You consent to electronic records, logs, communications, and SOW terms being used as evidence in any dispute.


This clause survives termination of your account or services. You agree that initiating a chargeback without first submitting a written billing concern to AuthorityTech constitutes fraud and a breach of these Terms.



17. Versioning

These Terms & Conditions are versioned for audit and compliance purposes.
